Corporate Counsel - M&A
About the position
As a member of the Legal team, reporting to the VP, Assistant Corporate Secretary, Corporate and M&A, you will serve as a primary attorney for UL Solutions’ corporate and business leadership. A Corporate Counsel acts as a trusted legal advisor and provides legal counseling and advice on matters of significant legal impact to UL Solutions, including in respect of M&A, corporate governance and executive compensation.
Responsibilities
• Advise business partners and other corporate functions on M&A transactions, venture investments, real property acquisitions, corporate governance, corporate restructuring, financing and executive compensation and benefits.
• Collaborate cross-functionally to evaluate and resolve legal matters that arise with respect to strategic transactions and corporate governance and administration matters.
• Review, draft and negotiate agreements related to UL Solutions’ strategic transactions.
• Participate in or lead special projects furthering the strategic goals and initiatives of UL Solutions.
• Work with the Corporate Secretary and Assistant Corporate Secretary in the coordination and administration of key facets of UL Solutions’ Board and Committee meetings.
• Review and prepare SEC filings and advise on securities law matters.
• Assist in developing, refining and overseeing policies, processes, and organizational controls to ensure UL Solutions’ compliance with applicable laws and regulations around the globe.
• Manage and coordinate legal advice and support of UL Solutions Legal with respect to strategic initiatives and provide expertise and guidance to harmonize issues.
• Consult and coordinate with other UL Solutions attorneys, as well as external counsel, as appropriate to ensure the proper approach.
• Act per direction of, and partner with, the Associate General Counsel – M&A, Corporate Governance & Assistant Corporate Secretary.
Requirements
• JD from a top-tier law school and bar admission plus generally 5+ years relevant experience at a law firm and/or fast-paced and innovative global business operations environment
• Extensive experience working on M&A transactions, including drafting and negotiating contracts and conducting legal due diligence
• Extensive experience advising clients and non-legal personnel on legal matters
• Extensive experience working in a team environment and collaborating with others to address complex legal and business issues
Nice-to-haves
• Experience in corporate governance, corporate restructuring, securities, financing and/or executive compensation preferred
• Occasional travel may be required, up to four times per year
