JOB DESCRIPTION:
Nacelle is seeking an experienced Real Estate Counsel (Independent Contractor) who shares our passion for accelerating the transition to clean energy. You will work directly with clients and senior counsel on active projects, often navigating tight timelines, evolving deal structures, and complex stakeholder dynamics. Candidates should be comfortable working independently, exercising judgment in ambiguous situations, and engaging directly with sophisticated clients and counterparties.
As Nacelle continues to grow, this role offers meaningful opportunities for expanded responsibility, deeper client ownership, and long-term collaboration with the firm.
This position requires a minimum commitment of approximately 25 hours per week, with flexibility depending on project needs and workload.
REQUIREMENTS:
• Juris Doctor degree and active bar admission(s).
• 5+ years of real estate legal experience, with focused experience supporting renewable energy and/or real estate infrastructure transactions.
• Strong grasp of real estate contract terms and legal and commercial issues relevant to real estate transactions.
• Demonstrated interest in and commitment to renewable energy and clean infrastructure projects.
• Comfort working independently in a fast-paced, evolving environment with competing priorities, ambiguity, and limited structure.
• Excellent, detail-oriented, high-accuracy writing skills.
• Strong communication and organizational skills, including the ability to manage multiple matters concurrently.
• Ability to project a positive image of the firm and maintain positive relationships.
PRIMARY RESPONSIBILITIES:
• Draft, review, and negotiate real estate agreements, including leases, easements, option agreements, purchase agreements, and other real estate agreements.
• Lead and support complex real estate transactions for renewable energy and infrastructure projects.
• Advise clients on development, construction, and operational matters for clean energy projects.
• Support project financing and M&A transactions for renewable energy and infrastructure projects.
• Review title and survey, address title and survey matters, and draft and pursue title curative documents.
• Pull deeds, review property ownership, and draft legal descriptions.
• Grow into increased responsibility and client ownership over time.
