Senior Counsel - Capital Markets
We are partners with a fast-growing AI infrastructure company backed by leading investors and serving global enterprises and research labs. We are hiring a Capital Markets Counsel to support major equity and debt financings, investor relationships, and long-term capital strategy.
What You’ll Do
• Lead legal work on private equity and debt financings, including growth rounds, structured investments, and convertibles
• Advise on U.S. securities law and investor disclosures
• Draft and negotiate financing and subscription documents
• Partner with finance and leadership on fundraising, capital structure, and investor strategy
• Manage outside counsel and advisors
• Support M&A, secondary transactions, and pre-IPO readiness
What We’re Looking For
• J.D. and active U.S. bar membership
• 4–8+ years in capital markets, securities, or corporate finance law
• Experience with private company financings and U.S. securities compliance
• Comfortable working in a fast-moving, high-growth tech environment
• Strong commercial judgment and communication skills
